Please review the terms governing your access to and use of UriAgency’s advertising accounts, funding services, and related advertising solutions.

Draft prepared: · Version 2026-11-01-draft

Review draft — not yet published as final Terms. Refund details, a liability cap, governing law and dispute arrangements, and the legal contact require confirmation before adoption.

1. Introduction and Acceptance

These Terms and Conditions govern the website at uriagency.com and the business advertising services supplied by UriDigital Technologies LLC, operating as UriAgency (the “Company”). Please read them before ordering or using Services. Services are intended for business purposes. A Client must have legal capacity to contract, and any representative must have authority to bind the business they represent.

For a particular engagement, these Terms become binding when incorporated into an order or other agreement accepted by both parties, or when the Client expressly accepts them through a method made available by the Company. Use of Services after receiving these Terms and clear notice that such use constitutes acceptance may also constitute acceptance to the extent permitted by applicable law. Merely visiting this page does not establish acceptance of a paid service order. This website page does not itself record an electronic signature or agreement acceptance.

A mutually accepted written service agreement or order controls over conflicting provisions of these Terms for that engagement. Mandatory law always applies. This review version contains unresolved matters expressly identified below and is not represented as a finalized service agreement.

2. Definitions

  • Company: UriDigital Technologies LLC, operating as UriAgency.
  • Client: the business or authorized commercial customer obtaining Services.
  • Services: the advertising account and related services agreed with the Company.
  • Advertising Platform: a third-party advertising provider, including Meta, Google, TikTok, Microsoft Advertising, Snapchat, Taboola, or Outbrain.
  • Agency Advertising Account: an advertising account provided or managed through the Company.
  • Client Balance: funds recorded as available for the Client in the Company’s applicable funding records or funds management system, before allocation to an Advertising Platform. This definition does not claim that a public customer wallet currently exists.
  • Advertising Account Balance: funds allocated to an Advertising Platform account and subject to its accounting and rules.
  • Advertising Spend: advertising charges actually incurred on an Advertising Platform, subject to reconciliation of credits and adjustments.
  • Service Fee: a fee payable to the Company for agreed Services, distinct from Advertising Spend.
  • Top-Up: allocation of the Client’s advertising budget to an Advertising Account Balance.
  • Refund: a return of funds approved under these Terms, the applicable order, or mandatory law.
  • Business Day: Monday through Friday, excluding United States federal holidays and Wyoming state public holidays, measured in Wyoming local time. A bank or Advertising Platform may operate on a different calendar.

3. Scope of Services

Depending on the agreed order and availability, Services may include Agency Advertising Account access, account setup, account management, funding, technical support, advertising infrastructure, campaign assistance, and other mutually agreed services. Supported platforms may include Meta, Google, TikTok, Microsoft Advertising, Snapchat, Taboola, Outbrain, and other platforms confirmed for the engagement.

The actual scope, platform, responsibilities, deliverables, and commercial terms must be confirmed for each order. No platform name implies official certification, endorsement, or partnership. The Company will perform agreed Services with reasonable care and skill. It does not guarantee permanent account availability, ad approval, advertising results, return on investment, or continued availability of particular platform features.

Platform changes may require reasonable service adjustments. The Company will explain material effects and discuss available alternatives or termination and balance reconciliation where the agreed service can no longer be provided. These qualifications do not remove the Company’s own contractual or mandatory legal responsibilities.

4. Client Eligibility and Verification

Services are intended for lawfully operating business customers. The Client must provide accurate and current business, contact, billing, and authorization information and promptly correct material changes. The Client is responsible for ensuring its business may lawfully operate in relevant markets.

Where reasonably needed for an engagement, the Company may request identity verification (KYC), business verification (KYB), representative authorization, or payment verification. The required checks depend on the service, provider requirements, and applicable law; these Terms do not represent that every check is currently performed for every customer. Information requests should be relevant and proportionate and handled under the Privacy Policy.

The Company may decline an application where it reasonably identifies legal, sanctions, fraud, platform-policy, or security risks that cannot be adequately resolved. Declining an application does not by itself permit forfeiture of funds already received.

5. Advertising Account Ownership and Access

Ownership and permitted access

Agency Advertising Accounts may be created, supplied, or administered by the Company, authorized suppliers, or Advertising Platforms. Ownership and administrative control depend on the platform’s rules and the applicable arrangement. The Client receives only the access rights agreed for its Services; payment for access does not itself transfer ownership of an account, business manager, or platform infrastructure.

Access restrictions

  • No resale or sublicensing of account access without prior authorization.
  • No unauthorized assignment or transfer of permissions.
  • No bypassing security controls or changing critical ownership, billing, or administrator permissions without authorization.
  • No unlawful use or use designed to evade lawful platform restrictions or advertising review.

Account management

The Company may administer permissions only as reasonably necessary to deliver agreed Services, protect security, comply with law and platform requirements, and address breaches. Access changes must be consistent with the order and applicable law. Where practicable, the Company will explain material restrictions and the steps needed to restore access. It may not arbitrarily deprive the Client of paid service rights; suspension, termination, and remaining funds are addressed below.

6. Advertising Platform Policies

The Client must follow the applicable Advertising Platform terms and policies, including Meta Advertising Standards, Google Ads Policies, TikTok Advertising Policies, Microsoft Advertising Policies, and the rules of any other platform used. Platform rules may change independently of these Terms.

The Client is responsible for the legality and policy compliance of its creatives, landing pages, promoted products, targeting practices, business claims, required licenses, and campaign activities. This includes obtaining necessary permissions and substantiating advertising claims. Technical assistance or account provision is not legal approval of a campaign. The Company may refuse unlawful or policy-violating instructions and remains responsible for its own conduct.

7. Restricted and Prohibited Advertising

The Services must not be used for illegal products or services, fraudulent advertising, deceptive business practices, unauthorized financial promotions, unlicensed regulated activities, malware, phishing, intellectual property infringement, or other unlawful advertising activity. Concealing prohibited activity or misleading reviewers is also prohibited.

Financial services, gambling, dating, healthcare, supplements, and cryptocurrency-related services may be subject to special legal and platform restrictions. These industries are not categorically described as unlawful. The Client must obtain any licenses, qualifications, disclosures, consents, or platform authorizations required for the relevant activity and region before advertising. Availability must be confirmed for the specific engagement; possession of a license does not guarantee platform approval.

8. Advertising Account Funding

The Client must pay the advertising budget and associated fees under the mutually confirmed commercial terms. Funding may involve payment verification, internal balance allocation, submission of a Top-Up to the Advertising Platform, and transaction confirmation. This describes possible processing steps rather than a claim that a particular automated funding system is available.

Processing depends on payment providers, bank settlement, blockchain confirmations where applicable, security verification, supplier processing, and platform availability. Any timing estimate must be confirmed for the transaction; no universal or instantaneous funding time is promised. Campaigns should not be scheduled in reliance on an unconfirmed Top-Up.

Client Balance, Advertising Account Balance, Advertising Spend, and Service Fees are distinct records. Platform displays may lag, include credits or commitments, or differ from internal records and the amount recoverable for Refund. The parties should reconcile payment references, platform statements, spend, fees, currency conversions, and adjustments before determining an available balance. The Client may request clarification of discrepancies; neither a display alone nor an unexplained internal entry conclusively resolves a genuine dispute.

9. Fees and Charges

Applicable charges may include account setup, account management, spend-based Service Fees, funding or transaction fees, and separately agreed additional services. There is no single fee schedule applicable to all Clients under these Terms.

Before the relevant service or transaction, the accepted quote, order, or commercial agreement must identify the fee amounts or calculation basis, whether charges depend on Advertising Spend or another measure, settlement and invoicing periods, payment due dates, currency, applicable taxes, and any conversion method and exchange charges. Relevant third-party charges must also be disclosed or their basis explained. Where these matters have not been agreed, the Company should obtain agreement before proceeding rather than invent a charge retrospectively.

Advertising budget is separate from Service Fees unless expressly stated otherwise. Fee changes apply prospectively as agreed and do not alter completed transactions retroactively. The Client should raise billing concerns promptly with relevant transaction details; a good-faith dispute does not waive either party’s rights or excuse undisputed payments.

10. Payments and Cryptocurrency

Only payment methods expressly confirmed by the Company for the relevant transaction may be used. Depending on actual support, these may include bank transfer, supported payment processors, or approved digital assets such as USDT. Listing a method here does not confirm it is currently available. The Client must use authorized funds and accurate payment references.

For a digital-asset payment, the Client must verify the Company-designated receiving address, asset, network, amount, and transaction instructions through an agreed trusted channel. Blockchain transactions can be irreversible. An incorrect network, asset, or address may prevent recovery; responsibility for any error depends on its cause and applicable law, including any incorrect instructions supplied by the Company.

Receipt requires applicable chain confirmations and internal reconciliation. Network fees, valuation time, exchange treatment, and any conversion charges must be confirmed in advance. A completed payment does not mean the Advertising Account Balance has been credited immediately. The Company makes no claim of regulated digital-asset, custody, banking, or payment-service licensing by describing these payment options.

11. Refunds and Withdrawals

Unallocated funds

A Client may request a Refund of unused Client Balance. Eligibility and the recoverable amount depend on reconciliation, the accepted order, legitimate outstanding obligations, and mandatory law. Funds are not automatically forfeited because an account is restricted or Services end.

Funds at an Advertising Platform

Advertising Account Balance may need to be released or returned by the Advertising Platform or supplier before it can be refunded. Platform rules, committed charges, verification, credits, and processing periods may affect recovery. The Company will reasonably assist with requests within its control and communicate material restrictions; it does not promise that every platform-held balance is immediately recoverable.

Consumed spend and earned fees

Advertising Spend actually incurred is generally not refundable as unused budget, subject to valid corrections, platform credits, contractual remedies, and applicable law. Whether fees for completed Services are refundable depends on the agreed terms, the circumstances, and mandatory law. No blanket permanent non-refundability applies to every Top-Up or Service Fee.

Request and reconciliation

Submit a request through the verified service contact with the Client and transaction identifiers and the amount concerned. Reasonable identity, payment-source, and financial checks may be required. The Company should explain the reconciliation and any deductions, rather than apply undisclosed penalties. A disputed amount should be identified separately from undisputed funds.

Pending commercial confirmation: the detailed Refund policy, request channel, eligibility conditions, processing target, return currency, return payment route, digital-asset valuation method, and allocation of bank, network, conversion, and platform costs require confirmation before this version is adopted. These Terms do not invent a fixed deadline, minimum withdrawal, or fee. Transaction-specific details should be agreed in writing before funding; mandatory Refund rights remain effective regardless.

12. Account Suspension and Restrictions

Platform-initiated restrictions

An Advertising Platform may restrict an account for policy enforcement, security reviews, payment issues, fraud prevention, regulatory requirements, or other platform decisions. The Company cannot guarantee reversal, but will communicate information reasonably available to it and provide any assistance included in the agreed Services.

Company-initiated restrictions

The Company may proportionately suspend affected Services where reasonably necessary to address a material breach, unpaid amounts, credible fraud or security risks, unlawful use, or binding legal or platform requirements. Where practicable, it will give notice describing the reason, affected Services, requested corrective action, and restoration conditions. Urgent protective action may precede notice; notice should follow promptly unless prohibited by law or reasonably likely to compromise an investigation.

The Client must cooperate with reasonable verification and remediation. Restrictions should be reviewed when the reason is resolved; restoration remains subject to platform availability and applicable obligations. Suspension alone does not confiscate balances. Spend, fees, and remaining funds must be reconciled under Sections 8–11, with any lawful hold explained where permitted. These provisions do not excuse the Company’s own breach or negligence.

13. Account Replacement and Service Availability

Replacement or recovery assistance may be available for certain account types only where confirmed in the applicable order. Eligibility depends on account circumstances, the cause of restriction, supplier availability, platform rules, and the agreed commercial terms.

Not every account qualifies. These Terms promise no unlimited replacements, fixed number of replacements, guaranteed response period, compensation amount, restoration of an original account, or recovery of historical data. The Company will communicate available options and any new cost before obtaining the Client’s agreement. Replacement does not remove any remedy otherwise available for a failure to deliver agreed Services.

14. Client Responsibilities

  • Provide accurate business, billing, and authorization information.
  • Comply with applicable law and Advertising Platform policies.
  • Protect credentials, use authorized access methods, and promptly report suspected misuse.
  • Hold the necessary rights to advertising materials and required licenses for promoted activities.
  • Give clear and authorized campaign, budget, and funding instructions and monitor activities within the Client’s control.
  • Pay agreed charges when due and cooperate with reasonable security and compliance reviews.

The Client remains responsible for its representatives’ authorized use. Allocation of responsibility for unauthorized activity depends on the facts, the parties’ respective security obligations, and applicable law; it is not automatically assigned entirely to the Client.

15. Intellectual Property

The Company and its licensors retain rights in the UriAgency website, brand assets, and pre-existing materials. Except as permitted by law or an express license, the Client may not copy, redistribute, or misuse those materials. Advertising Platforms and other third parties retain their own trademarks, software, and other intellectual property.

The Client retains its rights in its advertising creatives, trademarks, and other supplied content. It grants the Company a limited, non-exclusive license to use and, where necessary, share such material with relevant providers solely to perform the agreed Services during the engagement and any necessary close-out. This does not transfer ownership or authorize unrelated publicity. Rights in bespoke deliverables should be addressed in the applicable order. Each party must have the rights necessary for the material it supplies.

16. Confidentiality

Each party must use reasonable care to protect the other’s non-public business information, negotiated pricing, customer information, advertising account information, technical details, and other information reasonably understood to be confidential. It may use that information only to perform the engagement or exercise related lawful rights, and disclose it only to personnel and providers with a need to know and appropriate confidentiality duties.

These obligations do not cover information lawfully public without breach, already known without restriction, independently developed, or lawfully received from another source without a confidentiality duty. Required legal disclosure is permitted, limited to what is required, with prior notice where lawful and practicable. On termination, information should be returned or deleted where reasonably practicable, subject to necessary legal, dispute, and backup retention protections. Confidentiality continues while the information remains confidential.

17. Data Protection and Privacy

Personal information handling is described in the UriAgency Privacy Policy. Each party must meet its own applicable data protection obligations, including appropriate notices, lawful processing grounds, security, and any required permissions for advertising data and targeting.

If the engagement requires the Company to process personal information on the Client’s behalf, the parties should enter into an appropriate Data Processing Agreement before that processing starts. This page does not itself establish a completed DPA or consent record. Confidentiality obligations do not replace applicable privacy duties.

18. Disclaimer of Warranties

Third-party platforms and internet services can experience downtime, policy changes, technical faults, or removal of features beyond the Company’s reasonable control. Except for express commitments in the accepted order and guarantees required by law, the Company does not warrant continuous platform availability, particular advertising performance, campaign profitability, guaranteed ad approvals, or permanent advertising account access.

The Company must still exercise reasonable care and skill in its own agreed work. No disclaimer excludes a warranty, obligation, or remedy that cannot lawfully be excluded, or overrides an express service commitment.

19. Limitation of Liability

Each party is responsible for direct loss caused by its own breach to the extent established under applicable law, subject to any valid limitation expressly agreed for the engagement. Both parties must take reasonable steps to mitigate loss. Neither party may recover the same loss more than once.

To the extent permitted by applicable law, neither party is liable for indirect or consequential loss, including lost profits to the extent they are indirect or consequential. This does not exclude direct loss merely because it relates to revenue. A third-party disruption does not by itself make the Company liable for that provider’s conduct, but it does not excuse the Company’s own failure to perform its obligations.

Liability cap pending confirmation: no monetary cap or service-fee lookback period is established by this review version. Any proposed maximum liability, including a cap tied to three, six, or twelve months of Service Fees, requires a separate commercial decision and legal review before adoption.

No limitation excludes fraud, willful misconduct, intentional unlawful conduct, or any other liability that applicable law does not permit the parties to exclude or limit. Obligations to account for and return recoverable Client funds are not extinguished by this section.

20. Indemnification

To the extent permitted by law, the Client must indemnify the Company for reasonable losses, damages, and defense costs arising from third-party claims to the extent caused by the Client’s unlawful advertising, infringement of third-party rights, or material breach of these Terms. This duty does not cover losses caused by the Company’s own breach, negligence, or willful misconduct, and is proportionate where responsibility is shared. Fines are included only where lawfully recoverable.

The Company must give prompt notice of a claim, reasonably cooperate, and take reasonable mitigation steps. Delay reduces the obligation only to the extent it materially prejudices the defense. The Client may control the defense using competent counsel, subject to reasonable safeguards against conflicts of interest. No settlement may admit fault by, impose non-monetary obligations on, or fail to release the Company without its prior reasonable consent. The Company may participate with its own counsel at its own expense unless a conflict reasonably requires another arrangement.

21. Termination

The Client may request termination through the agreed service contact, subject to any accepted order period and notice terms. Either party may terminate for material breach after notice and a reasonable opportunity to cure where cure is possible. The Company may terminate affected Services for unresolved non-payment, serious or repeated policy violations, material legal or security risks, or circumstances making continued supply unlawful. Immediate action is permitted where continued service would create a serious risk or violate binding requirements; reasons should be communicated where lawful.

On termination, access granted for the Services may end in accordance with platform rules and the agreement. The parties should reasonably coordinate close-out and permitted export of Client materials where technically available and lawful. Account ownership is not transferred by termination. The Company need not promise recovery of platform data outside its control.

Accrued and undisputed fees remain payable. Advertising Spend, outstanding fees, credits, and remaining balances must be reconciled, with eligible funds handled under Section 11. There is no automatic forfeiture of unused funds. Data will be retained or deleted under applicable law, the Privacy Policy, and any DPA. Provisions that by their nature must continue, including accrued payment rights, confidentiality, intellectual property, and applicable liability and dispute terms, survive termination.

22. Force Majeure

A party is excused from affected performance only to the extent prevented by an event beyond its reasonable control, such as a natural disaster, government restriction, major infrastructure failure, or widespread network disruption, where reasonable precautions could not avoid its effects. A platform problem is not automatically force majeure merely because a third party is involved.

The affected party must notify the other as soon as reasonably practicable, explain the impact, take reasonable mitigation steps, and resume performance promptly when possible. Unaffected obligations continue, and accrued payment or accounting obligations are not erased. If disruption substantially defeats the engagement for a prolonged period, the parties should discuss alternatives or termination with fair reconciliation of undelivered Services and recoverable balances.

23. Governing Law and Dispute Resolution

The Company is based in Wyoming, United States. The parties should first attempt in good faith to resolve a dispute through their authorized business contacts, without preventing urgent relief or allowing a statutory deadline to expire.

Legal review required: Wyoming law is a proposed governing-law option only and has not been adopted by this review version. Governing law and any agreed dispute mechanism must be confirmed by authorized parties following legal review. These Terms do not select an exclusive court, mandatory arbitration, arbitration institution, dispute venue, or class-action waiver. Until valid provisions are agreed, applicable conflict-of-laws and procedural rules determine the relevant law and forum. Mandatory legal protections remain unaffected.

24. Changes to These Terms

The Company may publish updated Terms on this website with an identifiable version and update date. For material changes affecting ongoing Services, it should give reasonable advance notice through the agreed customer communication channel, explain the proposed effective date, and obtain acceptance where required by law or the existing agreement.

Publication alone does not retroactively change completed transactions or automatically amend an existing accepted order. Existing orders remain governed by their agreed terms unless validly amended. New versions apply to new engagements when properly incorporated and accepted. If a change is legally required, the parties should address the necessary adjustment consistently with mandatory law. This page does not claim that update notices or acceptance logs have already been implemented.
